3 Proposed Partnership Models

Model A

Governance-as-a-Service

K0nsult provides the governance layer for the partner's agents. Partner's agents are registered in K0nsult's registry, governed by K0nsult's policies, and audited through K0nsult's infrastructure. Partner focuses on agent capability; K0nsult handles compliance and oversight.

Partner role: Agent platform provider. K0nsult role: Governance provider.

Revenue: Per-agent monthly fee or flat monthly subscription
Model B

Co-branded Enterprise Offering

Joint product for enterprise clients combining partner's agent technology with K0nsult's governance framework. Single offering, dual branding. Sold as a complete "governed agent solution" to enterprise buyers who need both capability and compliance.

Partner role: Agent technology + distribution. K0nsult role: Governance framework + compliance documentation.

Revenue: 60/40 split (delivery party / distribution party)
Model C

White-Label Deployment

Partner deploys K0nsult under their own brand. Custom domain, custom branding, dedicated database instance. Partner manages the client relationship; K0nsult provides the underlying governance platform and ongoing updates.

Partner role: Client-facing brand and sales. K0nsult role: Platform provider and maintainer.

Revenue: Annual licensing fee + per-agent usage fee
Model D

API Integration

Lightweight integration. K0nsult governance endpoints are available to the partner's platform via REST API. Partner's agents call K0nsult for governance checks (authority validation, compliance verification, audit logging) without full platform deployment.

Partner role: API consumer. K0nsult role: API provider.

Revenue: API call pricing (tiered volume discounts)

4 Proposed Terms

Term Proposed Condition
Initial Term 12 months from execution date, with automatic renewal for successive 12-month periods unless either party provides 90 days written notice of non-renewal.
Exclusivity Non-exclusive. K0nsult retains the right to partner with other platforms. Exclusive arrangements available upon negotiation with adjusted commercial terms.
Intellectual Property Each party retains full ownership of their pre-existing and independently developed IP. Joint developments during the partnership are co-owned unless otherwise agreed in writing.
Data Processing All data processed per GDPR. Storage in EU only (Fly.io Frankfurt). Data Processing Agreement (DPA) to be executed separately. No cross-border transfers without explicit consent and appropriate safeguards.
Liability Each party's liability capped at the total fees paid or payable in the 12 months preceding the claim. Neither party liable for indirect, consequential, or punitive damages.
Termination Either party may terminate with 90 days written notice. Immediate termination for material breach (30-day cure period). Upon termination: orderly wind-down of joint clients, data return/deletion within 30 days.
Confidentiality Mutual NDA covering all non-public information shared during the partnership. Survives termination for 2 years.
Governing Law Laws of the Republic of Poland. Disputes resolved first through good-faith negotiation (30 days), then mediation, then arbitration under ICC rules in Warsaw.
Insurance K0nsult to obtain professional liability insurance prior to first joint client engagement. Minimum coverage to be agreed during negotiation.

5 Next Steps

Step 1: Discovery Call

Duration: 30 minutes

Align on partnership goals, identify the best-fit model (A/B/C/D), discuss technical requirements, and establish mutual expectations. No commitment required.

Step 2: Technical Proof-of-Concept

Duration: 2 weeks

Build a minimal integration demonstrating K0nsult governance applied to the partner's agent environment. Validate API compatibility, data flow, and governance value. Both parties invest limited engineering time.

Step 3: Pilot Deployment

Duration: 1 month

Deploy the integrated solution with 1-3 real clients or internal use cases. Measure governance effectiveness, user experience, and technical reliability. Gather feedback for refinement.

Step 4: Full Partnership Agreement

Duration: Negotiation period

Based on pilot results, negotiate and execute a formal partnership agreement covering commercial terms, SLAs, support obligations, marketing rights, and escalation procedures.
